AdIntel™ Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you (either individually or on behalf of the entity you represent, "User", "you", or "Customer") and DigitalBizz Solutions ("DigitalBizz Solutions", "we", "us", or "our"), governing your access to and use of the AdIntel™ software platform, website (https://www.adintel.in), APIs, and associated applications (collectively, the "Service" or "Platform").

By accessing the website, registering an account, or connecting an advertising data source (such as Google Ads or Meta Ads), you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not access or use the Service.

2. Definitions

• "AdIntel™" / "Platform": The decision intelligence software and analytical dashboards provided by DigitalBizz Solutions.
• "Workspace" / "Organization": A secure, isolated multi-tenant data container created by or for a User to manage marketing intelligence and connected data sources.
• "Connected Account": A third-party platform account (such as Google Ads, Meta Ads, GA4, or GSC) authorized by the User to transmit telemetry to AdIntel.
• "Telemetry": Aggregated advertising metrics, including impressions, clicks, spend, conversions, CTR, CPC, reach, and frequency retrieved from Connected Accounts.
• "Recommendations": Diagnostic observations, prioritized action roadmaps, and opportunity calculations generated by AdIntel's analytical engines.

3. Eligibility & Authority

You represent and warrant that: (a) you are at least eighteen (18) years of age; (b) you have the full power and legal authority to enter into these Terms; and (c) if you are registering or using the Service on behalf of a company, agency, or other legal entity, you have the requisite corporate authority to bind that entity to these Terms.

4. Account Registration & Security

To access the Service, you must create an account. You agree to provide accurate, current, and complete registration information. You are solely responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to notify us immediately at support@adintel.in upon becoming aware of any unauthorized access or security breach.

5. Platform Services & Scope

AdIntel provides decision intelligence, telemetry normalization, anomaly detection, and cross-channel performance reporting. AdIntel operates as a read-first diagnostic decision platform. AdIntel does not independently execute unauthorized ad purchases, deploy new live campaigns, or alter your payment instruments without your direct interactive instruction.

6. Connected Third-Party Accounts

When you connect third-party platforms (such as Google Ads or Meta Ads) to AdIntel:

• You explicitly authorize AdIntel to access, retrieve, and normalize advertising telemetry permitted under your authentication grant.
• You represent and warrant that you hold all necessary administrative or analytical permissions to grant AdIntel access to those accounts.
• You may disconnect any connected account at any time directly through the AdIntel interface.

7. Google Ads & Google API Connections

AdIntel uses Google APIs to provide integrations with Google services. Users control whether to authorize those connections. Google services remain subject to Google's own terms and policies.

8. User Responsibilities

You agree that you are solely responsible for: (a) your compliance with all applicable local and international advertising laws, platform policies, and industry standards; (b) verifying the accuracy of all strategic decisions prior to executing campaign changes on ad networks; and (c) all ad spend and budgets incurred on connected advertising networks.

9. Acceptable Use Policy

You agree not to:

• Reverse engineer, decompile, disassemble, or derive the source code of the Platform.
• Attempt to bypass, test, or breach the multi-tenant isolation barriers or authentication controls.
• Use the Platform to transmit malware, automated scraping bots, or harmful computational routines.
• Resell, sublicense, lease, or redistribute access to the Service to unauthorized third parties without written authorization from DigitalBizz Solutions.

10. Intellectual Property Rights

DigitalBizz Solutions retains all right, title, and interest in and to the AdIntel™ platform, including all software, algorithms, UI components, trademarks, logos, analytical frameworks (including Executive Reveal™, Decision Reliability™, and Business Opportunity™), and documentation. Nothing in these Terms grants you any right, title, or interest in our intellectual property, except for the limited license to use the Service as expressly permitted herein.

11. Customer Data & Confidentiality

As between you and DigitalBizz Solutions, you retain all ownership rights in your marketing performance data. We treat your advertising telemetry as confidential business information and will not disclose it to third parties, except as authorized by you or as required by law.

12. Third-Party Services & API Dependencies

The Service relies on third-party APIs provided by Meta, Google, and other platforms. DigitalBizz Solutions is not responsible for any downtime, outages, API deprecations, rate limiting, or policy modifications initiated by third-party platform providers.

13. Service Availability & Uptime

While we strive to provide high availability, the Service is provided on an "as available" basis. We reserve the right to perform scheduled maintenance, apply security patches, and update features with reasonable notice where practicable.

15. Fees, Subscriptions & Billing

Access to specific tiers of the Service may require a paid subscription. Pricing, billing cycles, and feature inclusions are specified during plan selection. All fees are exclusive of applicable taxes unless stated otherwise.

16. Suspension & Termination

You may terminate your account at any time by contacting support@adintel.in. We reserve the right to suspend or terminate your access to the Service if you materially breach these Terms, engage in fraudulent activity, or fail to satisfy payment obligations.

17. Data Handling After Termination

Upon termination of your account, your right to access the Service immediately ceases. Platform access tokens are revoked, and stored telemetry will be deleted in accordance with our Privacy Policy and data retention schedule.

18. Disclaimers of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE, DOCUMENTATION, AND ALL RECOMMENDATIONS ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

19. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL DIGITALBIZZ SOLUTIONS, ITS DIRECTORS, EMPLOYEES, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, ADVERTISING SPEND LOSSES, DATA LOSS, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

20. Indemnification

You agree to defend, indemnify, and hold harmless DigitalBizz Solutions, its officers, directors, employees, and agents from and against any third-party claims, damages, obligations, losses, liabilities, costs, or expenses arising from: (a) your use of the Service; (b) your violation of these Terms; or (c) your violation of any third-party right or platform policy.

21. Modifications to Terms

We may revise these Terms from time to time to reflect product updates, integration expansions, or regulatory changes. The updated Terms will be posted on this page with an updated "Effective Date". Your continued use of the Service after any modifications constitutes your acceptance of the revised Terms.

22. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles. Any dispute, controversy, or claim arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the competent courts in India.
